Chime’s $590 million strategic turn headlined a busy week for M&A activity. In 2021, regulators forced the company to stop implying it was a bank. Five years later, the fintech is buying one. The $590 million deal for longtime partner Stride Bank would make the nationally chartered bank a wholly owned subsidiary, giving Chime tighter control over funding, lending and product launches.

In other news, Circle moved deeper into cross-border payments with a $400 million agreement to acquire Tazapay. PayTabs agreed to buy Amazon Payment Services’ MENA operations for more than $100 million. And wealth management platform Envestnet scooped up Vestmark, whose portfolio-management technology supports more than $2 trillion in assets.

Bank M&A was quite active, too: EverBank and WaFd unveiled a $3.9 billion reverse merger, while John Marshall Bank agreed to acquire EagleBank for $253 million.

  • Technology-focused specialty insurer Orion180 Insurance Group launched a Nasdaq IPO seeking up to $340 million at a valuation of as much as $1.7 billion.

  • Asset Reconstruction Company India, which acquires and resolves distressed financial assets, launched a $77.6 million IPO.

  • Chime agreed to acquire longtime banking partner Stride Bank for $590 million, giving the fintech control of a nationally chartered bank.

  • PayNearMe acquired the technology assets of agentic AI startup Marr Labs and hired its key employees to expand automation across its payments platform.

M&A - Banks and Financial Institutions

  • EverBank Financial and WaFd agreed to combine in a $3.9 billion reverse merger that will create a regional bank with approximately $75 billion in assets.

  • CBRE Investment Management acquired real estate finance platform Tenet Equity and its $1.6 billion portfolio of net-lease assets from Cerberus Capital Management.

  • John Marshall Bancorp agreed to merge with Eagle Financial Services, the parent of Bank of Clarke, in an all-stock transaction valued at approximately $253 million.

  • UniCredit acquired a minority stake in German fintech VC Trade, a digital marketplace and infrastructure provider for debt transactions.

  • Arrow Financial’s Upstate Agency agreed to acquire New York-based independent insurance brokerage Skene Valley Agency.

  • Jencap Group acquired North Dakota-based Concorde General Agency, a wholesale insurance intermediary serving independent agents across the Upper Midwest.

  • First Commonwealth Financial’s insurance subsidiary acquired Pennsylvania-based Pennsylvania Insurance Specialists.

  • weSure acquired Utah Business Insurance Company, strengthening its workers’ compensation insurance business in the United States.
